Terms of Service

By creating an account or using Nelvaca, you agree to these terms. If you don't agree, please don't use the platform.

You must provide accurate information when creating an account, and you're responsible for keeping your login credentials secure and for activity that happens under your account. Nelvaca supports separate account types - customer, vendor, and supplier accounts - each with its own onboarding and responsibilities.

Nelvaca is a marketplace platform: it connects customers with independent vendors who list and sell products, and with suppliers who may fulfil orders on a vendor's behalf. Macbay Innovative Solutions Ltd operates the platform itself, including checkout, payment processing, order records, and the tools vendors and suppliers use to list products and fulfil orders. Individual products are supplied by the vendors and suppliers who list them, not directly by Macbay Innovative Solutions Ltd, unless a specific listing says otherwise.

Vendors and suppliers are independent parties who go through a verification process before they can list or fulfil products. They are responsible for the accuracy of their listings and for fulfilling the orders assigned to them. Nelvaca provides the platform, tools, and operational oversight that make the marketplace work, including AI-assisted tools described in Section 12.

Product information, pricing, and availability are set by the listing vendor and may change. When you place an order, Nelvaca creates it as unpaid first; payment is a separate step that happens afterward, as described in Section 6.

Prices are shown in the currency displayed at checkout. Payment is processed by our third-party payment provider, Flutterwave, through their own hosted checkout page - we never see or store your full card details. Your payment provider may add a processing fee on top of the order total; any applicable fee and your final amount will be shown before you confirm payment. We don't control or guarantee that any particular fee will or won't apply.

Orders are fulfilled by the vendor or supplier responsible for each item. Delivery timing can vary by vendor, supplier, product, and location, and isn't guaranteed to a fixed schedule.

Cancellations, returns, and refunds are handled as described in our Returns, Refunds & Cancellations policy, which forms part of these terms.

You agree not to use Nelvaca for any unlawful purpose, to misrepresent products or your identity, to interfere with the platform's operation or security, or to attempt to circumvent order, payment, or fulfilment processes.

The Nelvaca platform, including its branding, design, and software, is owned by or licensed to Macbay Innovative Solutions Ltd. Product content submitted by vendors remains theirs, subject to the license they grant us to display it on the platform.

The platform relies on third-party service providers to operate, including our payment provider (Flutterwave), our transactional email provider (Resend), and our hosting and database infrastructure providers. Your use of the platform is also subject to the applicable terms of those providers where you interact with them directly (for example, on Flutterwave's hosted checkout page).

Nelvaca uses AI-assisted tools to support vendor and operations functions - for example, drafting or reviewing listings, and assisting with pricing, fraud monitoring, or support triage. These tools produce recommendations or drafts for human review; they are not used to make autonomous, consequential decisions about individual customers, and they don't personalize what any customer sees.

We may update, modify, or discontinue parts of the platform from time to time, and availability isn't guaranteed at all times.

To the fullest extent permitted by applicable law, the platform is provided "as is" without warranties of any kind. This does not affect any statutory right that cannot lawfully be excluded.

To the fullest extent permitted by applicable law, Macbay Innovative Solutions Ltd will not be liable for indirect, incidental, or consequential damages arising from your use of the platform. Nothing in these terms limits liability that cannot lawfully be limited under applicable law.

We may suspend or terminate access to the platform for a violation of these terms, suspected fraud, or other legitimate operational or legal reasons. You may stop using the platform at any time.

These terms are governed by the laws applicable to Macbay Innovative Solutions Ltd's operation of the platform, without prejudice to any mandatory consumer protection rights you have under the law of the country where you reside.

We may update these terms from time to time. We'll update the "Last updated" date above when we do, and continued use of the platform after a change means you accept the updated terms.
